Weedyy Terms of Service

1. Introduction

Welcome to Weedyy. These Terms of Service, together with any additional terms, policies, guidelines, and rules referenced in them, govern your access to and use of Weedyy’s websites, mobile applications, portal products, embedded widgets, marketplace tools, menu tools, ordering or handoff features, sponsored discovery products, communications, content, data services, support channels, and any other products or services that link to these Terms.

For purposes of these Terms:

• “Weedyy,” “we,” “us,” and “our” mean Blueprint Group LLC, dba Weedyy.
• “Services” means all Weedyy websites, applications, software, portals, marketplace surfaces, discovery products, embedded tools, APIs, communications, and related services that link to these Terms.
• “Consumer” means an individual who uses Weedyy to discover dispensaries, menus, products, strains, promotions, delivery options, pickup options, route-planning information, Stash features, or other consumer-facing features.
• “Business User” means a dispensary, delivery operator, brand, agency, staff member, contractor, advertiser, listing owner, portal user, or other business representative who uses Weedyy for business or commercial purposes.
• “Dispensary” means a licensed cannabis retailer, dispensary, delivery service, or other cannabis business that appears on or uses Weedyy.
• “Partner” means any third-party provider, including a dispensary, delivery operator, point-of-sale provider, payment provider, analytics provider, menu provider, loyalty provider, logistics provider, verification provider, or other service provider.
• “Content” means text, photos, videos, menus, product data, strain data, reviews, promotions, listings, advertisements, messages, links, metadata, ratings, tags, comments, feedback, and other materials.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services. If you use the Services on behalf of a company, dispensary, brand, agency, or other entity, you represent that you are authorized to bind that entity, and “you” includes both you individually and that entity.

2. Cannabis-Specific Notice

Weedyy operates in a highly regulated industry. Cannabis remains regulated under United States federal law, and many cannabis products and activities remain unlawful under federal law. Federal, state, and local cannabis laws may conflict or change over time, and legal status can depend on where you are, your age, your authorization status, the type of product, purchase limits, possession limits, delivery rules, licensing rules, and other facts.

Weedyy is designed for adults who are legally permitted to access cannabis-related information and services in their location. Weedyy does not:

• cultivate, manufacture, distribute, package, label, test, sell, or deliver cannabis;
• hold itself out as a cannabis licensee, dispensary, delivery operator, medical provider, pharmacy, payment processor, or legal advisor;
• guarantee that any dispensary, product, menu, promotion, delivery option, pickup option, price, inventory count, license, lab result, route, service area, or legal statement is accurate, current, available, lawful, or suitable for you;
• provide medical advice, diagnosis, treatment, prevention, or cure;
• guarantee that a cannabis product is safe, effective, legal, available, or appropriate for any person or condition.

You are responsible for knowing and following the laws that apply to you.

3. Eligibility and Age Requirements

You may use public cannabis discovery surfaces only if you are at least 21 years old or otherwise legally permitted under applicable law to access the specific surface or service. Weedyy’s public cannabis discovery surfaces are intended for adults 21+.

By using the Services, you represent and warrant that:

• you are at least 21 years old, unless a specific non-cannabis or legally permitted medical surface expressly allows a different age threshold;
• you have legal capacity to enter these Terms;
• you are not barred from using the Services under applicable law;
• you will not use the Services for or on behalf of a person who is underage or otherwise not legally eligible;
• you will not misrepresent your age, identity, location, authorization, license status, or eligibility.

We may use age gates, date-of-birth prompts, account controls, location checks, identity-related prompts, or other controls to support compliance. Passing an online age gate does not guarantee that you may lawfully purchase, possess, receive, or consume cannabis. Dispensaries and delivery operators may require valid government-issued identification, medical authorization, or other legally required documentation at pickup, delivery, or fulfillment.

4. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and may provide additional notice through the Services, email, push notification, in-app notification, portal notice, or other reasonable means.

Unless otherwise stated, updated Terms are effective when posted. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

5. Additional Terms

Some features may be subject to additional terms, policies, or guidelines, including privacy notices, cookie notices, acceptable use policies, operator terms, advertiser terms, ordering terms, checkout terms, payment terms, delivery terms, pickup terms, support terms, refund terms, promotion terms, beta terms, pilot terms, app store terms, or third-party terms.

If there is a conflict between these Terms and feature-specific additional terms, the additional terms govern for that feature, unless those additional terms state otherwise.

6. Accounts

Some Services may require an account. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity under your account;
• promptly notifying us at support@weedyy.com if you suspect unauthorized access or misuse;
• ensuring that anyone you authorize to use your business account has proper authority and training.

We may reject, suspend, restrict, or terminate accounts at any time if we believe the account is inaccurate, unauthorized, misleading, unlawful, risky, inactive, compromised, abusive, or otherwise inconsistent with these Terms or applicable law.

7. Weedyy Is a Technology and Discovery Platform

Weedyy provides technology, discovery, menu, market-operations, operator portal, advertising, and related tools. Weedyy is not a dispensary and is not the seller, manufacturer, distributor, delivery provider, payment processor, healthcare provider, or fulfillment provider for cannabis products listed by third parties.

Dispensaries, brands, delivery operators, and other Partners are solely responsible for:

• their licenses, permits, registrations, and compliance obligations;
• the accuracy and legality of their listings, menus, products, pricing, taxes, fees, hours, availability, promotions, and service areas;
• verifying age, identity, medical authorization, purchase limits, possession limits, and other fulfillment requirements;
• accepting, rejecting, preparing, fulfilling, canceling, refunding, or supporting orders, reservations, pickup requests, delivery requests, or other transactions;
• the quality, safety, labeling, testing, packaging, storage, recalls, and legal status of their products;
• all customer service, disputes, injuries, losses, refunds, returns, chargebacks, and complaints related to their goods or services.

Weedyy may display information from dispensaries, Partners, public sources, imports, third-party providers, user submissions, internal operations, or automated systems. Weedyy does not guarantee that this information is complete, current, verified, or error-free.

8. Discovery, Listings, Menus, Products, Strains, and Promotions

Weedyy may display dispensary listings, delivery options, menus, products, strains, brands, deals, promotions, sponsored placements, editorial context, educational information, route-planning information, market context, or other content.

You understand and agree that:

• availability, prices, taxes, fees, promotions, product names, product descriptions, cannabinoid values, terpene values, lab results, package sizes, pickup windows, delivery windows, and operating hours may change without notice;
• menus and inventory may be delayed, incomplete, imported, estimated, manually entered, or otherwise different from in-store or operator-controlled systems;
• promotions are offered by the applicable dispensary, brand, or advertiser, not by Weedyy unless we expressly say otherwise;
• sponsored placements or advertisements may be ranked, labeled, targeted, or displayed based on commercial relationships, user context, relevance, quality, location, availability, or other factors;
• maps, distances, route estimates, delivery zones, and market boundaries are approximate and may be inaccurate or unavailable.

You should verify important information directly with the applicable dispensary or Partner before relying on it.

9. Market Context and Unsupported Geographies

Weedyy may allow adults 21+ to browse public discovery surfaces even when they are outside a supported market. Unsupported geographies may be shown nearest supported market, default market, educational, or non-local discovery context.

Unsupported geography browsing does not mean:

• cannabis is legal where you are;
• Weedyy operates locally where you are;
• a dispensary can lawfully sell, deliver, or fulfill an order to you;
• a listed product, promotion, route, delivery option, pickup option, or service area is locally available;
• Weedyy or any Partner has confirmed local local availability.

Commerce, ordering, checkout, delivery, tracking, fulfillment, support, and live local claims must be treated as unavailable unless the applicable Weedyy controls, market rules, Partner configuration, and legal requirements permit them.

10. Stash, Saved Intent, and Planning Features

Weedyy may provide Stash, favorites, saved products, saved dispensaries, lists, route planning, reminders, browsing history, recently viewed items, or similar features.

These features are planning and personalization tools. Saving an item does not reserve inventory, lock a price, create an order, create a legal right to purchase, guarantee availability, or require any dispensary or Partner to honor a listing, price, product, promotion, or service.

11. Ordering, Checkout, Pickup, Delivery, and Handoffs

Weedyy is discovery-first and commerce-capable. Native or in-app ordering, checkout, cart, payment, delivery, fulfillment, tracking, and support features may be available only when Weedyy enables them and when they are legally and operationally supported for the relevant market, listing, user, and feature.

Unless Weedyy expressly states otherwise in a feature-specific flow:

• Weedyy is not the seller of cannabis products;
• Weedyy is not the buyer’s agent or the dispensary’s agent for cannabis sales;
• Weedyy is not the delivery provider or fulfillment provider;
• Weedyy does not control whether a dispensary accepts, rejects, modifies, prepares, fulfills, cancels, refunds, or supports an order;
• Weedyy does not guarantee inventory, price, taxes, fees, delivery timing, pickup timing, driver availability, route availability, legal eligibility, or product quality;
• any cannabis sale occurs between you and the applicable licensed dispensary or other authorized seller, subject to applicable law and that seller’s policies.

11.1 Native or In-App Commerce

Native or in-app transactional features may appear only when Weedyy has enabled the relevant commerce controls. If a feature is not enabled, not supported for your market, not supported for the listing, or not supported for your account, you may not use it and must not attempt to bypass any restriction.

You may be required to provide information needed to transmit, prepare, support, or recover an order, such as name, phone number, email, date of birth, delivery address, pickup details, order notes, account details, or other information. Dispensaries or delivery operators may require additional information or verification at pickup or delivery.

11.2 Off-Platform Partner Handoffs

Weedyy may link or route you to a Partner or dispensary-controlled ordering, delivery, payment, loyalty, menu, or support system. In those cases, Weedyy is providing a handoff or referral surface only. The Partner’s terms, privacy policy, support process, payment process, fulfillment process, and compliance controls govern your use of the Partner service.

Weedyy does not own or control Partner checkout, payment processing, fulfillment, delivery control, delivery tracking, refunds, returns, support, or regulatory reporting unless Weedyy expressly says otherwise in writing for a specific feature.

11.3 Refusals, Cancellations, Returns, and Refunds

Dispensaries and delivery operators may refuse service, cancel orders, modify orders, require in-person verification, or decline delivery or pickup for legal, safety, inventory, payment, location, intoxication, identification, medical authorization, purchase-limit, operational, or policy reasons.

Refunds, returns, substitutions, product defects, recalls, exchanges, delivery issues, pickup issues, loyalty points, and store credit are governed by the applicable dispensary, Partner, or payment provider policies, unless Weedyy expressly states otherwise.

11.4 Commerce Feature Availability

The following table describes how Weedyy treats public discovery, ordering, handoffs, and unsupported-market features.

11.5 Confirmations, History, Support, and Recovery

When Weedyy provides a Weedyy-owned checkout, order, delivery, or fulfillment technology feature, Weedyy may provide confirmation, history, status, support, or recovery information through the applicable flow. Partner-owned handoffs, checkout, fulfillment, delivery, tracking, refunds, and support remain governed by the applicable Partner unless Weedyy expressly states otherwise for a specific feature.

11.6 Embedded Widgets and Third-Party Surfaces

Weedyy may provide embedded menus, listings, ordering links, sponsored placements, maps, or other widgets that appear on third-party websites or Partner-controlled surfaces. Embedded surfaces remain subject to these Terms when they link to them or are powered by Weedyy. The host website or Partner may also impose separate terms and privacy notices. Embedded commerce, handoff, or market claims must follow the same age, market, feature-flag, and ownership rules as Weedyy-owned surfaces.

12. Payments

Weedyy may provide or link to payment-related functionality where legally and operationally supported. Payment methods, payment processors, fees, refunds, chargebacks, and settlement rules may vary by jurisdiction, dispensary, Partner, feature, and payment provider.

You agree not to use payment functionality for unlawful transactions, false information, fraud, chargeback abuse, resale, diversion, underage access, money laundering, sanctions violations, or any transaction prohibited by applicable law or these Terms.

13. Health, Medical, FDA, and Safety Disclaimers

Weedyy does not provide medical advice. Cannabis products and related statements displayed through the Services have not necessarily been evaluated by the U.S. Food and Drug Administration or any other regulator. Unless expressly stated by a qualified licensed professional in a legally permitted context, information on Weedyy is for general informational, educational, discovery, or merchandising purposes only.

No content on Weedyy is intended to diagnose, treat, cure, mitigate, or prevent any disease, illness, condition, symptom, or health problem. You should consult a qualified healthcare professional before using cannabis or cannabis-related products, especially if you are pregnant, nursing, taking medication, have a medical condition, have a history of substance use disorder, operate vehicles or machinery, or have questions about cannabis use.

Cannabis may impair judgment, coordination, and reaction time. Do not drive or operate machinery under the influence. Keep cannabis products away from children and pets.

14. Communications

By using the Services, you consent to receive electronic communications from Weedyy, including emails, texts, push notifications, in-app messages, portal notices, account notices, legal notices, support messages, security alerts, transactional messages, and service-related messages.

If you provide a phone number, you authorize Weedyy, dispensaries, Partners, and service providers acting on our behalf to contact you at that number for service-related, account-related, order-related, delivery-related, pickup-related, support-related, safety-related, or legal communications. Message frequency may vary. Message and data rates may apply.

We will not send marketing texts using autodialed or prerecorded technology unless we have any consent required by law. You may opt out of marketing emails through unsubscribe links. You may opt out of text messages by replying STOP where supported. Opting out may affect service functionality, and you may still receive non-marketing legal, transactional, safety, support, or account messages where permitted by law.

15. Location Services, Maps, and Route Planning

Some Services use approximate or precise location information to show nearby dispensaries, menus, market context, route-planning information, delivery availability, pickup availability, or relevant promotions.

You can usually control device-level location permissions through your browser or device settings. If you disable location permissions, some Services may not work correctly.

Maps, routes, distances, traffic, pickup windows, delivery zones, delivery timing, and local market context are estimates. You are responsible for safe travel and compliance with traffic laws, cannabis possession laws, and local restrictions.

16. User Content

You may be able to submit, upload, post, transmit, display, rate, review, message, tag, save, or otherwise provide Content through the Services.

You retain ownership of Content you own. By providing User Content to Weedyy, you grant Weedyy a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, display, perform, distribute, transmit, modify, adapt, translate, create derivative works from, analyze, moderate, remove, publish, and otherwise use that Content in connection with operating, improving, securing, promoting, and providing the Services.

You represent and warrant that:

• you own or have all rights necessary to provide the User Content and grant this license;
• your User Content is accurate to the extent it states facts;
• your User Content does not violate law, these Terms, any Partner terms, or any third-party rights;
• your User Content does not contain prohibited claims, medical claims, false statements, threats, harassment, hate, spam, malware, illegal offers, underage content, confidential information, or content that could create compliance risk.

We may review, moderate, edit, remove, restrict, refuse, or preserve User Content at any time, but we have no obligation to do so.

17. Reviews, Ratings, and Public Content

Reviews, ratings, photos, comments, profile details, and other public or semi-public content may be visible to other users, dispensaries, brands, Partners, search engines, or the general public.

You must not post reviews or ratings that are fake, paid, coerced, defamatory, discriminatory, irrelevant, abusive, spammy, based on secondhand experience, or written by owners, employees, contractors, competitors, agencies, or others with undisclosed conflicts of interest.

We may remove or restrict reviews, ratings, or public content when we believe they violate these Terms, create legal or compliance risk, or undermine trust in the Services.

18. Business Users, Dispensaries, Brands, and Portal Users

If you use Weedyy as a Business User, you agree that:

• you are authorized to act for the business you represent;
• your business holds and will maintain all licenses, permits, approvals, insurance, authorizations, and registrations required for its operations;
• all listing, menu, product, price, promotion, fulfillment, delivery, tax, license, service-area, staff, and business information you provide is accurate, current, lawful, and not misleading;
• you will promptly correct inaccurate or outdated information;
• you will not publish medical, health, therapeutic, curative, disease, potency, safety, availability, price, discount, delivery, or legal claims that are false, misleading, unsupported, or prohibited;
• you are solely responsible for complying with cannabis advertising, marketing, packaging, labeling, age-gating, delivery, inventory, purchase-limit, recordkeeping, tax, labor, privacy, consumer protection, and other applicable laws;
• you will not use Weedyy to target underage users, unsupported markets, unlawful geographies, or prohibited audiences;
• you will not use portal access to scrape data, misuse customer information, bypass controls, misrepresent licensing status, or interfere with Weedyy’s operations.

We may require verification, documentation, ownership proof, license proof, operational review, payment information, or other information before publishing, claiming, ranking, sponsoring, or enabling features for a business.

We may remove, suppress, label, restrict, suspend, or downgrade listings, menus, promotions, ads, portal access, or business features if we believe they are inaccurate, risky, unlawful, low quality, unverified, unsupported, abusive, or inconsistent with Weedyy’s operational or compliance standards.

18.1 Claimed, Unclaimed, Imported, and Verified Listings

Weedyy may display claimed, unclaimed, imported, partially verified, verified, sponsored, or internally curated listings. A listing’s appearance on Weedyy does not mean the business has claimed it, approved every data point, paid Weedyy, completed verification, or authorized every feature shown, unless Weedyy expressly labels that status.

Unclaimed or imported listings may be limited to discovery, Stash, informational, or external handoff behavior. Claimed listings may receive additional portal, menu, analytics, commerce, support, sponsorship, or operational features only when Weedyy enables those features and the business satisfies applicable configuration, compliance, and quality requirements.

18.2 Data Imports and Operator Corrections

Weedyy may import menu, product, license, listing, location, hours, price, promotion, service-area, or inventory information from third-party sources or public sources. Business Users are responsible for reviewing and correcting imported information associated with their business. Weedyy may suppress or label imported information when freshness, verification, or compliance confidence is insufficient.

19. Advertising, Sponsorships, and Promotions

Weedyy may offer sponsored listings, promoted placements, brand surfaces, advertising products, campaign tools, lead-generation tools, analytics, and related products.

Advertisers and sponsors are solely responsible for:

• ensuring that their ads, promotions, claims, audience targeting, landing pages, offers, and products comply with applicable law;
• all required disclosures, qualifications, license numbers, disclaimers, and restrictions;
• honoring offers, discounts, promotions, and redemptions;
• avoiding medical, health, therapeutic, false, deceptive, or underage-directed claims.

Weedyy may reject, remove, modify, label, pause, or restrict advertising or sponsored content at any time.

19.1 Ad Labeling and Ranking

Sponsored placements, ads, promoted listings, brand campaigns, and paid visibility products may be labeled, ranked, targeted, measured, or displayed based on commercial relationships, relevance, market context, quality, user interactions, availability, compliance review, or other factors. Payment for advertising does not guarantee placement, ranking, availability, compliance approval, or conversion.

19.2 No Circumvention of Compliance Controls

Advertisers, agencies, dispensaries, and brands may not use Weedyy ads, promotions, creative, landing pages, embeds, redirects, pixels, or campaign settings to bypass age gates, market restrictions, unsupported-market rules, cannabis advertising rules, medical-claim restrictions, platform rules, or these Terms.

20. Third-Party Services and Integrations

The Services may contain links, embeds, frames, APIs, SDKs, widgets, integrations, or handoffs involving third parties. Third-party services may include dispensary websites, point-of-sale systems, menu systems, payment processors, loyalty providers, delivery providers, identity or age verification providers, analytics providers, advertising providers, mapping providers, app stores, social platforms, or support tools.

Third-party services are governed by their own terms and privacy policies. Weedyy is not responsible for third-party content, systems, acts, omissions, availability, accuracy, security, privacy practices, fees, transactions, disputes, or legal compliance.

21. Intellectual Property

The Services, including Weedyy’s name, logos, trademarks, service marks, designs, software, code, databases, interfaces, graphics, workflows, ranking systems, algorithms, compilations, documentation, and proprietary content, are owned by Weedyy or its licensors and are protected by intellectual property and other laws.

Subject to your compliance with these Terms, Weedyy grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, harvest, train models on, frame, mirror, bypass access controls for, or exploit the Services except as expressly authorized by Weedyy in writing.

22. Feedback

If you provide ideas, suggestions, improvements, bug reports, feature requests, business concepts, or other feedback, you grant Weedyy a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use that feedback for any purpose without restriction, notice, or compensation.

23. Prohibited Conduct

You agree not to:

• use the Services if you are underage or legally ineligible;
• bypass, disable, or interfere with age gates, market gates, commerce flags, security controls, access controls, or compliance controls;
• use the Services to violate cannabis laws, facilitate diversion, resell cannabis, serve minors, or conduct unlawful transactions;
• submit false age, identity, location, license, medical, account, business, or payment information;
• scrape, crawl, harvest, copy, index, or extract data from the Services without written permission;
• use bots, scripts, automated accounts, credential stuffing, denial-of-service attacks, malware, reverse engineering, or unauthorized APIs;
• interfere with the Services or any user, dispensary, Partner, or network;
• post or transmit unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, discriminatory, deceptive, infringing, invasive, or otherwise objectionable content;
• impersonate anyone or misrepresent affiliation, authority, sponsorship, endorsement, license status, or location;
• use the Services for spam, phishing, fraud, scams, fake reviews, fake leads, artificial engagement, manipulated rankings, or deceptive advertising;
• use customer, consumer, portal, or business data outside the purpose for which it was provided;
• use the Services to develop a competing database, marketplace, ranking engine, model, scraping product, or data product without written permission;
• encourage or assist any violation of these Terms.

24. Enforcement

We may investigate, monitor, suspend, restrict, remove, block, downgrade, terminate, or report activity that we believe violates these Terms, applicable law, Partner requirements, or Weedyy policies. We may cooperate with law enforcement, regulators, Partners, payment providers, app stores, or other third parties when legally appropriate.

We are not obligated to provide prior notice before taking enforcement action, especially where we believe there is legal, safety, security, fraud, compliance, abuse, operational readiness, or operational risk.

25. Privacy

Your use of the Services is also governed by the Weedyy Privacy Policy. Please review it to understand how Weedyy collects, uses, discloses, and retains information.

26. Copyright and Intellectual Property Complaints

If you believe Content on the Services infringes your copyright or other intellectual property rights, contact us at support@weedyy.com with the subject line “IP Notice” or “DMCA Notice.”

Your notice should include:

• your name and contact information;
• identification of the copyrighted work or other protected material;
• identification of the allegedly infringing material and where it appears;
• a statement that you have a good-faith belief that the use is not authorized;
• a statement that the information in your notice is accurate;
• your physical or electronic signature;
• any other information required by applicable law.

If Weedyy publishes a separate designated copyright agent notice or legal notice address, notices should be sent through that published process.

27. Availability, Security, and Beta Features

We may change, suspend, discontinue, limit, test, or remove any part of the Services at any time. We do not guarantee that the Services will be uninterrupted, secure, error-free, current, or available in any location.

Some Services may be beta, pilot, preview, experimental, internal, limited-market, or limited-release. Such features may be unstable, incomplete, unavailable, changed without notice, or subject to additional restrictions.

28. Disclaimer of Warranties

To the maximum extent permitted by law, the Services and all Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

Weedyy disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, reliability, legality, and course of dealing.

Weedyy does not warrant that:

• the Services will meet your needs or expectations;
• the Services will be uninterrupted, timely, secure, error-free, or free of harmful components;
• listings, menus, products, prices, promotions, inventory, delivery zones, routes, pickup windows, taxes, fees, lab results, licenses, or other Content will be accurate, current, lawful, available, or complete;
• any dispensary, Partner, product, promotion, order, pickup, delivery, or handoff will be safe, lawful, fulfilled, accepted, available, or suitable.

29. Limitation of Liability

To the maximum extent permitted by law, Weedyy and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, licensors, and Partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, property damage, regulatory penalties, cannabis product issues, failed orders, unavailable inventory, delivery failures, pickup failures, or substitute goods, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Weedyy’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

• the amount you paid directly to Weedyy for the Services giving rise to the claim during the 12 months before the event giving rise to liability; or
• 100 United States dollars.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In those cases, Weedyy’s liability is limited to the greatest extent permitted by law.

30. Indemnification

You agree to defend, indemnify, and hold harmless Weedyy and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, licensors, and Partners from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your access to or use of the Services;
• your violation of these Terms, additional terms, or applicable law;
• your User Content, listings, menus, products, promotions, ads, or business information;
• your cannabis-related activities, orders, pickups, deliveries, handoffs, purchases, possession, consumption, or resale;
• your violation of any rights of another person or entity;
• your fraud, negligence, willful misconduct, or misuse of the Services;
• for Business Users, your business operations, licensing, compliance, advertising, fulfillment, customer service, taxes, employment, products, or services.

We may assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of any claim.

31. Release

You release Weedyy and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, licensors, and Partners from claims, demands, damages, losses, liabilities, and expenses arising out of or relating to disputes between you and any dispensary, Partner, advertiser, sponsor, Business User, customer, user, driver, courier, retailer, brand, payment provider, or other third party.

If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

32. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below.

33. Dispute Resolution, Mediation, Arbitration, and Venue

Please read this section carefully. It requires most disputes to be resolved through individual mediation and arbitration rather than in court, and it limits class actions and jury trials.

33.1 Informal Resolution

Before filing a claim, you and Weedyy agree to try to resolve the dispute informally. The party raising the dispute must send written notice describing the nature and basis of the claim and the relief sought.

Notices to Weedyy should be sent to support@weedyy.com with the subject line “Legal Dispute Notice.” Weedyy may send notices to the email address, portal account, mailing address, or other contact information associated with your account or dispute.

The parties will attempt in good faith to resolve the dispute for at least 30 days after notice is received, unless emergency relief is needed.

33.2 Mediation First

If a dispute is not resolved informally, either party may request mediation administered by the American Arbitration Association or another mutually agreed mediator. The parties will participate in good faith in an individual mediation before arbitration, unless the parties agree otherwise or urgent injunctive relief is needed.

Unless the parties agree otherwise, mediation may occur remotely or in Riverside County, California.

33.3 Binding Individual Arbitration

If mediation does not resolve the dispute, the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, except as modified by these Terms.

The arbitration will be conducted by a single neutral arbitrator. Unless the parties agree otherwise or the applicable rules require a different method, arbitration may occur by video, telephone, written submissions, or in person in Riverside County, California.

The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim. The arbitrator has authority to decide disputes about arbitrability, enforceability, interpretation, scope, and validity of this arbitration agreement, except that courts will decide issues concerning the class action waiver below to the extent required by law.

33.4 Exceptions

Either party may bring the following claims in court instead of arbitration:

• individual claims that qualify for small claims court;
• claims seeking temporary or preliminary injunctive relief for intellectual property misuse, unauthorized access, security incidents, scraping, data theft, or misuse of confidential information;
• claims that applicable law says cannot be arbitrated.

33.5 Class Action and Representative Action Waiver

You and Weedyy agree that each may bring claims only in an individual capacity and not as a plaintiff, class member, representative, or private attorney general in any class, collective, consolidated, mass, representative, or private attorney general action, except where this waiver is prohibited by law.

The arbitrator may not consolidate more than one person’s claims or preside over any class, collective, consolidated, mass, representative, or private attorney general proceeding, except as required by applicable law.

33.6 Jury Trial Waiver

To the extent any dispute proceeds in court rather than arbitration, you and Weedyy waive any right to a jury trial to the maximum extent permitted by law.

33.7 Court Venue for Non-Arbitrable Claims

For any claim that is not subject to arbitration and is not filed in small claims court, you and Weedyy agree to the exclusive jurisdiction and venue of the state and federal courts located in Riverside County, California, unless applicable law requires otherwise.

33.8 Severability of Dispute Terms

If any part of this dispute resolution section is found unenforceable, the unenforceable part will be severed or modified to the minimum extent necessary, and the remainder will remain in effect, except that if the class action waiver is found unenforceable as to a claim that may not proceed individually, then the arbitration agreement will not apply to that claim.

33.9 Coordinated, Batch, or Mass Filings

If 25 or more similar arbitration demands are filed against Weedyy or you by the same or coordinated counsel, entities, or organizations, the parties agree to work with the American Arbitration Association to manage the filings in a fair, efficient, and staged manner, including reasonable batching, bellwether proceedings, fee management, and scheduling procedures permitted by applicable law and the AAA rules. No batch, mass, or coordinated procedure may create class-wide relief unless the class action waiver is unenforceable under applicable law.

34. App Store Terms

If you access the Services through an Apple, Google, or other app store, the app store’s terms also apply. The app store provider is not responsible for the Services, support, maintenance, claims, investigations, product issues, legal compliance, or third-party claims, except to the extent required by the app store’s applicable terms.

35. Export, Sanctions, and Restricted Use

You may not use the Services if you are located in, ordinarily resident in, organized under the laws of, or controlled by a person located in a country or region subject to comprehensive U.S. sanctions, or if you are on a restricted-party list. You may not use the Services in violation of export control, sanctions, anti-money laundering, anti-bribery, or anti-corruption laws.

36. Termination

You may stop using the Services at any time. We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk, used the Services unlawfully, misused data, harmed Weedyy or others, or if we discontinue or change the Services.

Sections that by their nature should survive termination will survive, including ownership, licenses, disclaimers, limitations of liability, indemnity, release, dispute resolution, governing law, and miscellaneous terms.

37. Notices

You agree that Weedyy may provide notices electronically, including through the Services, email, portal notice, in-app message, push notification, or other contact information associated with your account.

Legal notices to Weedyy should be sent to support@weedyy.com or to the mailing address below unless Weedyy later publishes a different legal notice address or legally required notice process.

38. Miscellaneous

These Terms are the entire agreement between you and Weedyy regarding the Services, except for additional terms that apply to specific features. If any provision is found unenforceable, the remaining provisions will remain in effect. Weedyy’s failure to enforce a provision is not a waiver. You may not assign these Terms without Weedyy’s prior written consent. Weedyy may assign these Terms in connection with a merger, acquisition, reorganization, asset sale, financing, change of control, or by operation of law. No person other than you and Weedyy has rights under these Terms, except where these Terms expressly provide protection to Weedyy’s affiliates, service providers, licensors, Partners, owners, officers, directors, employees, contractors, or agents.
